Experience

The Founding Director of REM Consulting has extensive experience in all forms of corporate/commercial matters with an established track record in successfully identifying the business commercial risks involved in every undertaking and consistently delivering upon the subsequent expectations of executive management.

General Counsel

Prior to REM Consulting, its Founding Director was appointed General Counsel to well-established international conglomerates based in the GCC wherein he was designated the principal task of establishing and strengthening the legal framework practices of the respective groups across the various regions in which they operated. The exposure to the myriad of cross-border matters from US, Europe, Asia and MENA adds to the skill set the Founding Director is able to offer to each corporate assignment.

Background

The Founding Director, Refki El-Mujtahed, is born raised and educated in the UK with Middle Eastern heritage and fluent in English, French and Arabic. Refki is a UK qualified Solicitor with over 19 years Post-Qualified Experience (PQE) before the Solicitors Regulation Authority (SRA). Registered areas of specialization with the SRA include: Business Affairs, Construction/Civil Engineering, International Law (Non-EC), Litigation (Commercial), Mediation (Civil/Commercial), Mergers & Acquisitions.

Results

  • ARBITRATION STRATEGY

    Effectively managed International Arbitration cases with claims ranging from $100million to $800million+ that included strategies on abuse of process, jurisdictional, contractual mechanism non-compliance, pre-emptive positioning re enforcement and other evasive respondent litigation manoeuvres.

  • AUDIT & FORENSIC

    Assisted the internal Audit and Forensic teams identify and process improper accounting to fraudulent conduct within Group companies with a view to prosecuting those that were held to be accountable.

  • B2B AGREEMENTS

    Reviewed, adopted, negotiated and concluded Marketing Service Agreements, Software Licence Agreements, IT Related Agreements, SME relationship arrangements and Master Reward Scheme Agreements with various companies.

  • CAPITAL MARKETS

    Managed External Counsel, Group Board and International Banks (Credit Suisse and Deutsche) Corporate team communication on the aborted Capital Market Convertible Bond and Rights Issue Transaction (US$ 150m) that was to be listed on the London Stock Exchange.

  • COMMERCIAL

    Drafted, negotiated and advised executive heads of various Group subsidiaries in a range of commercial forms of agreements such as Distribution & Agency (exclusive & non-exclusive), Manufacture, Sale, Supply, Consultancy, Subscription, Recruitment, Licensing, Assignment, Novation, Collateral Warranties, Undertakings, Declarations and Non-Disclosure.

  • CONSTRUCTION

    Assisted in drafting and negotiating many key Group construction contracts ranging from $150million to $2billion+ using FIDIC and other model forms of contract with international developer clients.

  • CORPORATE FINANCE

    Steered the Board in translating the complex debt exposure that a Group faced to the tune of US$600 million with over 20 international and local banks with a view to engaging with these creditors in a holistic fashion so as to get universal buy in to the re-capitalisation of group assets over a systematic period of time.

  • CORPORATE STRUCTURE

    Re-structured 200+ Group subsidiaries into less than 100 across multiple jurisdictions with no compromise to licenced activities undertaken by those rendered obsolete and assignment of existing contracts to applicable merged subsidiaries.

  • DEBT STRUCTURE

    Involved and steered the legal aspects of a Dubai World related entity’s recapitalization and debt restructure (US$200m), considered the structured terms and reviewed the sukuk listed bonds provisions in conjunction with commercial & project teams, executive management, external auditors, Chairman and Group Board.

  • FACILITY AGREEMENTS

    Oversaw, negotiated and closed global infratech contracts for Data Centre Services (DCS) (€100m+) as well as global Integrated Facility Management (IFM) contracts (€50m-€250m) with major banking, technology, life sciences and manufacturing clients.

Results

  • HR

    Inputted on the development of a Group wide HR Manual as well as HR and Admin group wide related policies to fall in line with the laws applicable to the countries under which these were to be implemented.

  • JOINT VENTURE

    Steered negotiations on joint venture, consortium, strategic shareholders or partners in unincorporated and incorporated arrangements and formations involving agreements starting with Memorandums of Understanding to Heads of Terms to short-form and long-form JV & / or Shareholders Agreements to Articles of Association to Counter Corporate / Parent Company Guarantees to Counter Indemnities to Supplementary / Interim Arrangements to Exit Severance and Settlement Agreements and Termination of Venture obligations.

  • LEGAL FRAMEWORK

    Successfully re-organised the legal team of 15 across all divisions with a reporting structure that ensured that all major risks or required legal decisions were cascaded up to group legal in good time.

  • LITIGATION MANAGEMENT

    Developed and maintained a monitoring and tracking system for all mainstream litigation cases across the divisions which was discussed with instructed external counsel with expectations set and arrangements put in place to ensure best possible outcomes for the group as a whole.

  • M&A

    Advised holding and subsidiary companies on potential M&A related transactions including due diligence of data rooms or company related documentation, extensive warranty & indemnity negotiations, partner buy-outs, Target Company restructures in conjunction with managing external counsel involvement and input.

  • OUTSOURCE AGREEMENTS

    Engaged with and agreed various standard terms & conditions with smaller scope suppliers/sub-contractors on a structured Purchase Order process for supply, manufacture, technology, minor works, project works, supervision, security and staff training services.

  • PROJECT AGREEMENTS

    Successfully project managed the set-up of several manufacturing plants in Europe, US and China which included overseeing the acquisition of land (€10m), formation of EU country SPV companies, FEED engagements (€20m-€30m), construction related contracts (€10m-€150m) as well as procurement related contracts with flow-down provisions for relevant manufacturing production lines (€100k to €5m).

  • PROJECT FINANCE

    Oversaw and led corporate finance contractual negotiations on the single largest UAE project finance deal (US$1billion+) with 6 syndicate GCC and MENA regional banks.

  • SHIPPING

    Effectively managed the enforcement of UK issued arbitral awards made against the Group’s shipping division with a fleet of 48+ cargo ships to the tune of US$500 million in accordance with a facilitated Board approved method of engaging and settling with such claimants as well as favourably restructuring joint venture shipping arrangements with existing non-claimants.
