Managed multiple international arbitration cases with claims ranging from $100 million to over $800 million. This included strategies on addressing abuse of process, jurisdictional issues, contractual mechanism non-compliance, pre-emptive positioning regarding enforcement, and other respondent litigation manoeuvres.
AUDIT & FORENSIC
Assisted internal audit, forensic teams, and investigative consultants in identifying and escalating issues from improper accounting to fraudulent conduct within Group companies, with the aim of prosecuting those found to be accountable.
B2B AGREEMENTS
Reviewed, adopted, negotiated, and finalized Marketing Service Agreements, Software License Agreements, IT-Related Agreements, SME relationship arrangements, and Master Reward Scheme Agreements with various companies.
CAPITAL MARKETS
Managed corporate communication among external counsel, Group Board, and international banks (Credit Suisse and Deutsche) regarding the aborted $150m Convertible Bond and Rights Issue intended for the London Stock Exchange.
COMMERCIAL
Drafted, negotiated and advised on various agreements for Group subsidiaries, including Distribution & Agency, Manufacture, Sale, Supply, Consultancy, Subscription, Recruitment, Licensing, Assignment, Novation, Collateral Warranties, Undertakings, Declarations, and Non-Disclosure.
CONSTRUCTION
Assisted in drafting and negotiating many key Group construction contracts ranging from $150million to $2billion+ using FIDIC and other model forms of contract with international developer clients.
CORPORATE FINANCE
Guided the Board in comprehensively addressing a complex debt exposure of US$600 million involving over 20 international and local banks. This effort aimed to engage these creditors collectively to secure universal agreement on the recapitalisation of group assets over a systematic period.
CORPORATE STRUCTURE
Re-structured 200+ Group subsidiaries into fewer than 100, without compromising licensed activities or existing contracts. This strategic consolidation aimed at streamlining operations and improving efficiency across the organization. The careful planning ensured that all legal requirements were met, and the transition was smooth, maintaining the integrity and performance standards of the Group's diverse portfolio.
DEBT STRUCTURE
Led the legal aspects of a Dubai World entity’s $200m recapitalization and debt restructure, reviewing sukuk bonds with commercial teams, executive management, auditors, Chairman, and Group Board.
FACILITY AGREEMENTS
Managed and closed global infratech contracts for Data Centre Services (DCS) (€100m+) and Integrated Facility Management (IFM) contracts (€50m-€250m) with major clients in banking, technology, life sciences, and manufacturing.
HR
Contributed to developing a Group-wide HR Manuals and related policies to comply with applicable laws in different countries.
JOINT VENTURE
Managed negotiations on joint venture, consortium, strategic shareholders, or partners in unincorporated and incorporated arrangements. This included agreements such as Memorandums of Understanding, Heads of Terms, short-form and long-form JV Agreements, Shareholders Agreements, Articles of Association, Counter Corporate and Parent Company Guarantees, Counter Indemnities, Supplementary and Interim Arrangements, Exit Severance and Settlement Agreements, and Termination of Venture obligations.
LEGAL FRAMEWORK
Reorganized in-house legal teams (up to 15 members) across all divisions, creating a reporting structure that ensured timely escalation of major risks and legal decisions to group legal.

Engaged with various suppliers and sub-contractors to establish standard terms and conditions through a structured Purchase Order process for supply, manufacture, technology, minor works, project works, supervision, security, and staff training services.
PROJECT AGREEMENTS
Managed the set-up of manufacturing plants in Europe, US, and China, overseeing land acquisition (€10m), formation of EU SPV companies, FEED engagements (€20m-€30m), construction contracts (€10m-€150m), and procurement contracts for production lines (€100k to €5m).
PROJECT FINANCE
Led corporate finance negotiations for the largest UAE project finance deal in 2012 (over $1 billion) involving 6 syndicated GCC and MENA regional banks.
SHIPPING
Managed the enforcement of UK-issued arbitral awards against the Group’s shipping division, which has a fleet of over 48 cargo ships, involving amounts more than US$500 million. This was done in accordance with a Board-approved method for engaging and settling with claimants, as well as restructuring joint venture shipping arrangements with non-claimants.
